Articles of Incorporation
of the Lincoln Chapter
of the American Society for Training and Development, Inc.

ARTICLES:

ARTICLE I. NAME

The name of this corporation is Lincoln Chapter of the American Society for Training and Development, Inc.

ARTICLE II. Duration

The period of the Corporation's duration is perpetual.

ARTICLE III. NONPROFIT CORPORATION

The Corporation is a public benefit corporation.

ARTICLE IV. INITIAL REGISTERED OFFICE AND INITIAL REGISTERED AGENT

The address of the initial registered office of the Corporation is 8601 Buckboard Lane, Lincoln, Nebraska 68532; and the name of its initial registered agent at such address is Glenda L. Hinz.

ARTICLE V. PURPOSE

The purpose of which the Corporation is to achieve a better utilization of human ability and potential in business, industry, education and government. The Corporation is organized exclusively for charitable, educational, or scientific purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.

ARTICLE VII. MEMBERS

Upon the filing of these Articles of Incorporation of Lincoln Chapter of the American Society for Training and Development, Inc., a Nebraska nonprofit corporation, the members of such unincorporated association formerly known as Lincoln Chapter of the American Society for Training and Development shall be members of such Corporation, and all the rights, privileges, immunities, powers, franchises, authority, property, and obligations of such unincorporated association shall thereupon pass to, rest in, and be the rights, privileges, immunities, powers, franchises, authority, property, and obligation of Lincoln Chapter of the American Society for Training and Development, Inc., a Nebraska nonprofit corporation. Membership in the Corporation shall be as set forth in the Bylaws of the Corporation.

ARTICLE VIII. DISSOLUTION OF CORPORATION

In the event of liquidation or dissolution of the Corporation no liquidating or other dividends and distribution of property owned by the Corporation shall be declared or paid to any private individual, but the net assets of the Corporation shall be distributed in the following manner: First to The Nebraska Chapter of the American Society for Training and Development. If The Nebraska Chapter of the American Society for Training and Development is no longer in existence, then to The American Society for Training and Development of Washington, D.C. If The American Society for Training and Development of Washington, D.C. is no longer in existence, then to one or more organizations described in Section 501(c)(3) of the Internal Revenue Code of 1954 or any successor thereto, as amended from time to time. The undersigned, being all of the incorporators, for the purpose of forming a Corporation under Nebraska's Nonprofit Corporation Act does adopt and sign these Articles of Incorporation this (pending approval) day of (pending approval), 2005.
